Changes to the PKEE Governing Board

Seven new members have joined the PKEE Governing Board. The newly appointed persons are the President of the Board of ENEA S.A. Grzegorz Kinelski, President of the Board of TAURON Polska Energia S.A. Grzegorz Lot, Vice-President of the Management Board for Trade, TAURON Polska Energia S.A. Piotr Gołębiowski, Vice-President of the Management Board of Energa SA Sławomir Staszak, President of the Management Board of PGE Energia Ciepła S.A., PTEZ representative Grzegorz Krystek , TGPE Office Director Waldemar Szulc and Director of the Regulation Division at PGE Polska Grupa Energetyczna S.A. Tomasz Świetlicki.

The PKEE Governing Board currently comprises three more members. They are the President of the Management Board of PGE Polska Grupa Energetyczna and the President of PKEE Dariusz Marzec, the Vice-President of the Management Board for Regulatory Affairs of PGE Polska Grupa Energetyczna, the Vice-President of PKEE Marcin Laskowski, as well as the Secretary of the Board Wioletta Ciska.

Grzegorz Kinelski - President of the Management Board of Enea S.A. is a manager with thirty years of experience in the energy sector, gained among others in public companies. Expert in energy, economics and business management. Electrical engineer, doctor of economics specialising in the field of energy and gas trade.

He began his career in the energy industry in 1994 at Górnośląski Zakład Energetyczny (Upper Silesia Power Company). Subsequently, Mr. Kinelski worked in key management positions, for Vattenfall (2000-2010), Tauron (2010-2013), Enea (2013-2016), PKP Energetyka (2017-2018) and Veolia Group (2018-2024), serving in the latter as a member of the management board of Veolia Energy Contracting Poland. He has extensive experience in corporate restructuring, implementation of strategies and management of complex projects and organizations. Significant achievements of Mr. Kinielski include the implementation of the strategy for the trading and customer service areas and the establishment and centralization of energy and gas trading in the Veolia Group, the centralization of energy and fuel trading and the creation of a shared services centre and the strategic acquisitions function in the Enea Group, the creation of energy trading and sales structures in PKP Energetyka (currently PGE Energetyka Kolejowa), as well as a number of implementation projects in the energy and gas are, optimization and creation of diverse sales and customer service channels.

Graduate of electrical engineering studies at the Faculty of Electrical Engineering of the Silesian University of Technology in Gliwice and of master's studies at the Faculty of Organisation and Management of this university, in the field of management and marketing (specialisation: business management). In addition, he completed the Master of Business Administration (MBA) programme at the Dominican University in Chicago, international management and marketing studies at the Brno University of Technology, management and finance studies at the University of Economics in Katowice, as well as postgraduate studies in finance and project management. He obtained the degree of Doctor of Economics at the University of Szczecin.

A practitioner who integrates many years of professional experience with academic study. University lecturer, assistant professor at the Department of Management at the WSB University in Dąbrowa Górnicza. Author of more than 50 scientific publications on the topic of economics, management and quality. His research interests include processes related to sustainable development and decarbonization in the context of changes in efficiency and competitiveness of energy companies, as well as management of an organization with the use of cognitive technologies, networking and mobility.

President of the Management Board of PAEE, the Polish affiliate of the International Association for Energy Economics, a Cleveland-based organization of energy sector experts. He is a member of the Institute of Electrical and Electronics Engineers (IEEE), a New York-based international scientific and technical organization of professionals associated with the electrical and electronics industry and related areas. He is a member of the Polish Electricity Association, the Energy Trading Society and the Polish Economic Society.

President of the Management Board of TAURON Polska Energia S.A. Grzegorz Lot is a graduate of the Silesian University of Technology in Gliwice, in the field of mechanics and machine construction with a specialisation in innovative processes and management in the energy sector. He completed Managerial Postgraduate Studies in Enterprise Management at the Silesian University of Technology in Gliwice, International Managerial and Marketing Studies at the Brno University of Technology, International Managerial and Financial Studies at the University of Economics in Katowice and Master of Business Administration studies at The Brennan School of Business of Dominican University, River Forest Illinois, USA.

He has been involved in the energy sector for 27 years. He has many years of experience in developing effective strategies for sales and marketing, as well as in change management. He is an expert in, inter alia, designing and implementation of new products and services, marketing campaigns, contact channels, and IT tools and systems. He has led and implemented numerous projects related to improving process efficiency.

From January 2023 he was Vice President of the Management Board at Polenergia Sprzedaż sp. z o.o. In the years 2020-2022 he held the function of Vice President of the Management Board at Polenergia Dystrybucja sp. z o.o. and at the same time Member of the Management Board at Polenergia Sprzedaż sp. z o.o

In the years 2012-2019 he worked at TAURON Group, as Vice President of the Management Board at TAURON Sprzedaż sp. z o.o. and TAURON Sprzedaż GZE sp. z o.o. and Executive Director for Customer Affairs at TAURON Polska Energia S.A.

In the years 1997-2012 he worked at companies belonging to Vattenfall Group as, inter alia, Head of Development Department, Head of Planning and HR Strategy Department, Project Manager, Director for Customer Service, Director for Sales and Marketing, Vice President of the Management Board.

He is a member of the Supervisory Board of companies Park Śląski S.A. and ITEO S.A. Vice President of the Management Board for Trade, TAURON Polska Energia S.A. Piotr Gołębiowski is a graduate of the Faculty of Electrical Engineering at the Silesian University of Technology in Gliwice. He also completed postgraduate International Managerial and Financial Studies at the University of Economics in Katowice, International Postgraduate Managerial and Marketing Studies at Brno University of Technology, Strategic Leadership Academy programme organised by ICAN Institute and Master of Business Administration studies at The Brennan School of Business of Dominican University, River Forest Illinois, USA.

He has been involved in the energy sector for 28 years, specializing mainly in subjects related to wholesale and retail trading on energy markets, asset hedging transactions and risk management in the power industry.

Since 2012 he has been working at the TAURON Group where he held the function of Vice President of the Management Board in TAURON Sprzedaż sp. z o.o. and TAURON Sprzedaż GZE sp. z o.o. (2012-2016), Executive Director for Trade at TAURON Polska Energia S.A. (2016-2019), Member of the Management Board at TAURON Czech Energy s.r.o. (2018-2019), and since 2019 Executive Director for Portfolio Management at TAURON Polska Energia S.A.

In the years 2006-2011 he was employed at Vattenfall Sales Poland as Director for Energy Portfolio and Price Setting, and then Vice President of the Management Board, Director for Energy Portfolio and Price Setting.

In the years 1995-2005 he worked in companies of Górnośląski Zakład Elektroenergetyczny S.A. where he held the positions of, inter alia, Head of Demand Management Department, Head of Price Setting Department, Deputy Director for Product Development, Head of Price Setting and Tariffs Department.

Since 2019 Mr. Piotr Gołębiowski has been Chair of the Supervisory Board of TAURON Sprzedaż sp. z o.o. and in 2022 he was also a member of the Supervisory Board of Nowe Jaworzno Grupa TAURON sp. z o.o.

Vice President of the Management Board of Energa SA Sławomir Staszak has many years of experience in the management and development and implementation of extensive corporate governance systems in commercial companies and holding groups, as well as in the broad field of corporate and holding company law and capital market law.

Since 2014, he was managing partner of K&S Kancelaria Radców Prawnych Kardasz Staszak sp.k. During his career, he has participated in the implementation of numerous business projects for various entities, including co-founding internationally operating holding groups, including for entities in the energy and port industries, managed international teams and participated in building strategies for multi-million dollar business projects. He has also provided business consulting services to domestic and foreign commercial law entities, including those from the European Union, the USA and Asia, e.g. directing the implementation of sales strategies for foreign markets, particularly in Asia.

In addition to his extensive legal practice, his previous professional experience has allowed him to hone his supervisory and management skills, including those related to managing complex teams. Mr Slawomir Staszak has served on the management and supervisory boards of many companies and foundations, including the Supervisory Board of the Port of Gdynia Authority S.A.

He is a law graduate of the University of Gdansk and has been practising as a legal advisor since 2014.

President of the Management Board of PGE Energia Ciepła S.A., PTEZ representative Grzegorz Krystek is a manager associated since the beginning of his career with the energy and financial sector. During this time, he has worked on major energy modernisation projects as well as privatisation and restructuring of the energy sector - both in Poland and abroad.

He gained extensive experience in an international environment working for Westinghouse, New York State Electric & GasCorporation, Arthur Andersen, Apache Corp. or Vertis Environmental Finance. He worked with Regulators in the US, Europe and Poland, negotiating the terms of deregulation and opening of the energy and gas market, creating a single and competitive market for gas and electricity in Europe, drafting guidelines and draft directives introducing systems of "coloured" certificates and mechanisms of cooperation between regulatory authorities in Europe. Expert at the Council of European Energy Regulators (CEER).

In recent years, he has overseen the country's largest energy transition from coal-based energy to clean energy based on renewable energy (wind and solar), hydrogen and nuclear power. He oversaw acquisition projects, the restructuring of the Group and the development of low- and zero-carbon projects. At the listed, largest company in the country's electrical installation industry, he exercised corporate governance in the company's restructuring process.

Between 2010 and 2016, he sat on the board of the largest company in the energy sector in Poland. As Vice President for Operations and Trading, he was responsible for the Group's operational activities in coal mining, conventional power plants, coal-, gas- and biomass-fired CHP plants, electricity distribution renewable energy, wholesale and retail trade in electricity and gas on domestic and foreign markets, purchase of fuels and production raw materials, preparation and implementation of processes and IT systems supporting the operational activities of the company and the Group's business lines, planning, forecasting and economic analyses, and for technical and operational support for the First Polish Nuclear Power Plant project. He designed, developed and implemented enterprise management support systems (ERO). He sat on the board of the Polish Power Exchange. Prior to that, he developed the emissions trading market in Europe. Between 2003 and 2004, he co-authored the National Emission Reduction Plan. He managed the areas of energy and strategy and development at Elektrim and was responsible, among others, for arranging financing and construction of the Pątnów II power plant, acquisition of energy assets, development and implementation of restructuring processes in the Group's companies. At Arthur Andersen, he was involved in the energy sector and coordinated projects in this area. He conducted privatisation processes of companies in the energy sector for foreign investors and the Minister of the Treasury.

TGPE Office Director Waldemar Szulc is a graduate of the Faculty of Mechanical and Power Engineering at Wrocław University of Technology. He also completed postgraduate studies in the management of capital companies at the University of Łódź and a study in Energy Management Planning in the Municipality.

He has been involved in the power and heat industry all his professional life, holding managerial positions in Elektrownia Bełchatów between 1984 and 1999 and management positions in Przedsiębiorstwo Energetyki Cieplnej Sp. z o.o. in Bełchatów (Vice President of the Management Board - Technical Director between 1999 and 2003, President of the Management Board - Chief Executive Officer between 2003 and 2009), and then in PGE Elektrownia Bełchatów SA (Member of the Management Board - Technical Director between 2009 and 2010). From September 2010 to December 2015, he was Vice President of the Management Board for Generation at PGE Górnictwo i Energetyka Konwencjonalna SA. He currently serves as Office Director at the Economic Society Polskie Elektrownie.

For two terms of office Vice President of the Management Board of the Economic Society of Polish Power Plants, Member and Vice President of the Council of the Economic Chamber of Polish Heat Engineering in Warsaw, he was an Expert of the Parliamentary Group for Power Engineering, participated in the work of the Sejm and Senate committees and problem teams. Speaker, lecturer at conferences and training courses, author of numerous publications in trade journals, expert witness in the field of power engineering.
